Please read these Terms carefully. By purchasing a license, creating an account, or downloading BROARchat software, you agree to be bound by these Terms.

1. About BROARchat

BROARchat is self-hosted community platform software. You purchase a license to install and run BROARchat on your own server hardware or virtual private server. BROARchat does not host your server, store your users' messages, or manage your community — you do. We provide the software and a license management system; everything else runs under your control.

2. License Grant

Subject to payment of applicable fees and compliance with these Terms, BROARchat grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

3. License Tiers and Limits

Your license tier determines the maximum number of registered users and community spaces your server may have. These limits are enforced by the software. Exceeding them requires upgrading to a higher tier. Current tier limits are described on our Pricing page and may be updated with 30 days' notice.

4. Subscriptions and Billing

Paid license tiers are billed monthly on a recurring subscription basis. Your subscription automatically renews each billing period at the then-current rate unless you cancel before the renewal date. You may cancel at any time through your account at broarchat.com/account/. Cancellation takes effect at the end of your current billing period; you retain access for the remainder of the period you have paid for.

Founder Special pricing (current 50% discount for early subscribers) is locked in for as long as you maintain an active subscription without lapsing. If your subscription lapses and you resubscribe, standard pricing applies.

5. License Key and Machine Binding

Each license key is bound to a single server instance. The software contacts our license validation API on startup and periodically thereafter to verify your license. You must maintain internet connectivity from your server to our license API (ae4pav2b3f.execute-api.us-east-1.amazonaws.com). You may not share, sell, transfer, or distribute your license key. Doing so may result in immediate revocation without refund.

You are solely responsible for how BROARchat is used on your server and by your users. You agree not to use BROARchat, and not to permit your users to use it, to:

7. Your Data and Privacy

Because BROARchat runs on your server, your users' chat messages, files, and community data are stored on your hardware, not ours. You are the data controller for your users' data and bear responsibility for complying with applicable privacy laws (including GDPR where relevant). Our Privacy Policy covers only the data we collect about you as a license holder through broarchat.com.

8. Intellectual Property

BROARchat software, including all code, designs, documentation, and trademarks, is the exclusive property of BROARchat. Nothing in these Terms transfers any ownership of intellectual property to you. You may not remove or alter any proprietary notices or branding from the software.

9. Updates and Support

We may release updates, patches, or new versions of the software from time to time. While we aim to maintain backward compatibility, updates may require you to upgrade your server configuration. Community support is available via email. Response times are not guaranteed under standard licensing tiers.

10. Termination

We may suspend or terminate your license immediately upon written notice if you: (a) violate these Terms, (b) engage in conduct that could harm BROARchat or its users, or (c) fail to pay applicable fees after a 10-day grace period. Upon termination, you must cease all use of the software and destroy all copies. You remain responsible for any fees accrued prior to termination.

11. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. YOUR USE IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BROARCHAT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless BROARchat and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the software, your users' activities on your server, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of the United States. Any dispute arising under or relating to these Terms shall first be addressed by contacting us at [email protected]. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration or a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to your registered address or via notice on broarchat.com at least 14 days before taking effect. Continued use of the software after the effective date constitutes acceptance of the revised Terms.
